


Sales and Partnership Agreement
Between:Best Olive Oils Store FZ-LLC
License No. 4421843.01
Registered in the United Arab Emirates,
hereinafter referred to as “the Distributor”,
and
Rosales Cazorla
owner of the brand Finca Las Malezas
hereinafter referred to as “the Producer”.
Article 1 — Purpose of the Agreement
This agreement defines the terms under which the Distributor undertakes to promote, market, and sell the Producer’s extra virgin olive oil under the brand Finca Las Malezas within the United Arab Emirates and, where appropriate, to re-export and distribute it worldwide.
Article 2 — Quantity, Price, and Duration
The Producer agrees to provide 600 bottles of extra virgin olive oil, exclusively from the 2025/2026 harvest, properly packaged and ready for sale.
The final retail price is fixed at €22 per bottle (or equivalent in AED).
The Distributor commits, using the marketing budget allocated, to sell the agreed quantity within a maximum period of 12 months from the date of signature of this agreement.
This agreement is not automatically renewable. Any extension or increase in quantity must be formalized in a new contract.
Article 3 — Ownership of the Goods
The bottles remain the exclusive property of the Producer until their final sale to the end customer.
The Distributor acts as a commercial representative, responsible for marketing and selling the products on behalf of the Producer.
Article 4 — Distribution Channels and Territories
The olive oils will be promoted and sold through multiple channels, including:
- Official e-commerce platforms such as www.bestoliveoils.store
- Partner restaurants, hotels, and gourmet retailers
- Private tastings and premium events
- Social media and digital marketing campaigns
While the main market is the United Arab Emirates, the products may also be re-exported and distributed internationally through the Distributor’s global network, in order to maximize visibility and sales opportunities worldwide.
Article 5 — Price Consistency and Brand Integrity
To preserve the premium image of the brand and ensure global price consistency, the retail price displayed online and in-store must always match the price agreed upon in this contract.
This rule is essential to maintain the credibility of marketing campaigns and the perceived value of the product.
A discrepancy between the prices advertised by the Producer or other distributors (for example, a lower price on another platform) could confuse consumers, damage the brand’s positioning, and undermine ongoing marketing efforts.
Accordingly:
The Producer agrees to keep the same retail price on all its platforms and distributors.
The Distributor agrees not to modify the price without the Producer’s written approval.
If the Producer or any third party sells the same product at a lower price, the Distributor shall be automatically released from its marketing and sales obligations, as campaigns can no longer be conducted under fair market conditions.
Article 6 — Distributor’s Commitments
The Distributor commits to:
- Promote and sell the olive oils in accordance with the agreed price, quantity, and quality.
- Implement a complete 12-month marketing plan, including professional content creation (photo/video), advertising on social media, participation in private events, and targeted promotional actions.
- Ensure product visibility and distribution through all available sales channels.
- Manage importation and sales under the Producer’s existing import authorization number, through Best Olive Oils Store FZ-LLC.
Article 7 — Marketing Budget and Performance Guarantee
The Producer provides the Distributor with a marketing budget of 2640 € to support sales within the UAE and for international re-export.
If, at the end of the 12-month period, the sales target is not reached, the Distributor commits to refund the proportional part of the marketing budget corresponding to the unsold volume.
Article 8 — Stock Management and Return Policy
If, after 12 months, any bottles remain unsold, the Producer may choose to:
Have them returned at the Distributor’s expense, or Allow the Distributor to reposition them at a lower price, subject to written approval (for instance, through a professional distributor or clearance sale).
Article 9 — Non-Exclusivity and Parallel Sales
The Distributor does not claim exclusivity for the UAE or international markets.
The Producer is free to appoint other distributors, provided that:
- The retail price remains equal to or higher than the one defined in this agreement, and
- Such sales do not conflict with the ongoing marketing strategy or affect price consistency across markets.
Article 10 — Product Conformity and Quality
The Producer guarantees that:
All olive oils delivered are from the 2025/2026 harvest.
The quality matches that of the samples presented during the Dubai Olive Oil Competition.
No alteration, blending, or modification has been made after approval.
Article 11 — Contract Extension
If the initial stock is sold quickly or if demand increases, both parties may agree on a new import and marketing plan.
However,
the Distributor specifies that its marketing resources are planned and allocated for a 12-month period and cannot be expanded without mutual consent.
Article 12 — Termination
This agreement may be terminated by either party in the event of:-
- A breach of the agreed retail price policy,
- A failure to comply with product quality or conformity standards, or
- Lack of communication or cooperation preventing the proper execution of the marketing plan.
Article 13 — Governing Law and Jurisdiction
This agreement is governed by the laws of the United Arab Emirates.
Any dispute arising from its interpretation or execution shall fall under the exclusive jurisdiction of the courts of Dubai.
